Terms & Conditions

Definitions

• ArticX Software:the company providing digital services, located in Terneuzen, Netherlands.
• Client:any natural or legal person who purchases a service or product from ArticX Software.
• Services:web design, branding, consultancy, e-commerce solutions and other digital services.

Applicability

These terms apply to all quotes, agreements and services from ArticX Software, unless otherwise agreed in writing.

Quotes & Prices

• Quotes are valid for 30 days.
• All prices are exclusive of VAT, unless stated otherwise.
• Prices may be adjusted in case of expansion or modification of the assignment.

Down Payment & Payment

• Projects over €500 require a down payment of 30–50%, unless otherwise agreed.
• Payment term: 14 days after invoice date.
• ArticX Software may pause the project in case of late payment.

Project Execution

• ArticX Software executes the assignment to the best of its knowledge and expertise.
• Client provides required information, content and materials in a timely manner.
• Feedback rounds are agreed in advance. Extra rounds may be invoiced.

Rights & Ownership

• All designs and source files remain property of ArticX Software until full payment is received.
• After payment, the client receives a usage right, not exclusive ownership unless agreed.
• ArticX Software may include projects in portfolio and marketing, unless requested otherwise in writing.

Revisions & Extra Work

• Minor adjustments within the project fall within the agreed scope.
• Major changes or additional functionalities are invoiced as extra work.

Delivery & Warranty

• Websites are tested on modern browsers and standard screen sizes.
• After delivery, client has 14 days right to free corrections for errors.
• Problems due to external changes (plugins, hosting, updates) are excluded from warranty.

Liability

• ArticX Software is not liable for indirect damages (such as loss of revenue).
• Liability is limited to the invoice amount of the relevant assignment.

Suspension & Termination

• ArticX Software may suspend services in case of non-payment.
• Both parties may terminate the agreement in case of material breach of terms.

Applicable Law

Dutch law applies to these terms. Disputes are settled by the court of Zeeland-West-Brabant.
